What is the repledge cap under the Client Securities Rules — and is the margin-loan base measured on settlement date or trade date?

Answer

  1. The repledge cap is 140% of aggregate margin loans (CSR s.8A).
  2. Ascertain daily the aggregate market value of repledged securities collateral; if MV exceeds 140%, withdraw enough by close of the next business day so MV ≤ 140% (using relevant-day closing prices).
  3. Margin loans for s.8A are measured on a settlement date basis, not trade date — exclude amounts from dealings not yet due for settlement (CSR FAQ Q2).
  4. IPO financing for new-issue subscription does not form part of the s.8A margin-loan denominator (CSR FAQ Q3).
  5. The 140% cap applies even if the credit facility is not drawn (CSR FAQ Q1).

In short: Monitor the repledge cap daily at 140% of settlement-date margin loans — not trade-date exposure. IPO subscription financing sits outside that denominator.

What CSR s.8A requires

Section 8A of the Client Securities Rules (Cap. 571H) caps how much client securities collateral a licensed corporation may repledge in connection with margin financing. On each business day, ascertain the aggregate market value of securities collateral that has been repledged. If that aggregate market value exceeds 140% of the aggregate margin loans on the relevant day, withdraw enough repledged securities by the close of the next business day so that the aggregate market value does not exceed 140%, using closing prices on the relevant day (s.8A(2)–(3)).

The cap applies to the relationship between repledged collateral and margin loans — not to standing-authority validity or renewal mechanics, which are separate CSR requirements.

Settlement date, not trade date

The SFC’s Client Securities Rules FAQ (28 September 2006), Question 2, confirms that the margin loan under s.8A is calculated on a settlement date basis, not a trade date basis. Amounts from dealings that are not yet due for settlement should be excluded from the aggregate margin loan figure used for the 140% test.

Align daily s.8A monitoring with settlement schedules and unsettled trades — not gross trade-date exposure alone.

What counts in the margin-loan denominator

Undrawn facilities (FAQ Q1). The 140% cap applies even if the credit facility has not been drawn.

IPO financing (FAQ Q3). IPO financing provided to a client for subscription of securities in a new issue does not form part of the margin loan for s.8A purposes. That exclusion is distinct from Circular 25EC18’s 10% upfront subscription deposit expectations for IPO orders not fully pre-funded — a separate Insight covers that lane.

Enforcement context: 24PR158

Enforcement news 24PR158 (Profitech Securities Limited) illustrates repledge failures: client securities were repledged without valid standing authorities and the aggregate market value of repledged collateral significantly exceeded 140% of aggregate margin loans. The same case also involved major Financial Resources Rules and related liquid-capital breaches — co-breach context only, not the focus of this Insight.

Practice boundaries

This Insight covers the s.8A 140% quantum and settlement-date margin-loan base. It is distinct from:

  • Non-PI standing authority renewal and lending after expiry — authority validity under CSR s.4, not repledge percentage.
  • IPO 10% upfront deposit (Circular 25EC18) — subscription deposit standards; IPO financing is excluded from the s.8A denominator but remains a separate compliance lane.
  • FRR / liquid-capital hub content — 24PR158’s FRR breaches are acknowledged as co-breach context only.

Scope of this answer

This Insight summarises CSR s.8A and the CSR FAQ pins on the 140% cap, settlement-date measurement and IPO financing exclusion. It is not a full margin-financing programme guide or accounting opinion.
